Terms of Service

You must be at least 18 years old and have the legal capacity to enter into these Terms. SwitchBoard121 is intended for business use only. If you are using the service on behalf of an organization, you represent that you have authority to bind that organization.

SwitchBoard121 stores your referral partners, drafts two-way introduction emails between them from the paragraphs you write, and sends those emails from your own mailbox once you connect it. It keeps a record of the introductions you have sent.

SwitchBoard121 does not write the introductions for you. Each partner's paragraph is used exactly as you enter it.

The service is provided in English and is intended for users in English-speaking countries.

You sign in with a Microsoft or Google account. You are responsible for keeping that account secure, anyone who can sign in to it can use your SwitchBoard121 workspace and send email from your mailbox.

One account is for one user. Your partner list is private to your account and is not shared with other users.

New accounts include a free trial of two months, starting the day the account is created. We do not collect payment details during the trial. We email you before the trial ends and again when it has ended. One trial is offered per person, and we may decline or end a trial that we reasonably believe is being used to avoid paying, for example by creating multiple accounts.

SwitchBoard121 costs $120 per year, billed annually in advance through Stripe. Your subscription renews automatically until you cancel.

The annual period starts when you subscribe, not when your trial begins. Fees are non-refundable once the annual period has started. You may cancel auto-renewal at any time; you will retain access until the end of the then-current billing period.

If a payment fails, a subscription is canceled, or your free trial ends without a subscription, access to the application stops, but your data is retained so that access can be restored if you subscribe again.

All payments are processed by Stripe. Card details never reach SwitchBoard121.

When you connect your mailbox, emails SwitchBoard121 sends come from you. You are responsible for them: for having a proper basis to contact the people you introduce, for what the introductions say, and for complying with the law that applies to you on unsolicited email.

You must not use SwitchBoard121 to send bulk unsolicited mail, to impersonate anyone, or in a way that breaches your email provider's own terms. We may suspend an account being used that way.

You keep ownership of everything you put into SwitchBoard121.

You grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display that content solely as necessary to provide the service to you (including sending introduction emails from your mailbox). This license ends when you delete the content or your account, except for residual copies that may remain in backups for a limited period.

Your partners are not our users. Their details reach us because you entered them, or because you invited them to enter their own. You are responsible for holding those details lawfully.

If you are subject to the GDPR, UK GDPR, or similar laws, our Data Processing Addendum applies to our processing of partner data on your behalf.

We aim to keep SwitchBoard121 running and correct, but it is provided “as is” and “as available,” without guarantees of uninterrupted availability. Sending depends on Microsoft, payments on Stripe, and the service depends on the providers that host it. Outages at any of those can affect it.

To the maximum extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that introductions will achieve any particular business result.

To the maximum extent permitted by law, our total liability arising out of or relating to the service or these Terms is limited to the fees you paid us in the 12 months preceding the claim. We are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or business opportunities, even if advised of the possibility.

You will indemnify and hold us harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) the content of any introduction you send; (b) your processing of partner personal data; (c) your breach of these Terms or of applicable law; or (d) any claim by a third party arising from your use of the service.

You may stop using SwitchBoard121 at any time by canceling your subscription, or by simply not subscribing when your trial ends. We may end or suspend access if these Terms are broken, or if the service is used in a way that puts other people or our providers at risk.

Certain provisions of these Terms (including ownership, license, disclaimers, limitation of liability, indemnification, and governing law) survive termination.

We may update these Terms from time to time. We will post the updated version with a new “Last updated” date. If a change is material we will provide reasonable advance notice. Continued use after the effective date constitutes acceptance of the updated Terms. If you do not agree you must stop using the service and cancel your subscription.

These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the service shall be resolved exclusively in the state or federal courts located in Raleigh, North Carolina, and you consent to personal jurisdiction there.
